Institutional Terms

Last updated: June 20, 2026

Note: Prologue is currently in pre-launch. Institutional licensing agreements are being finalized. School districts, universities, and education networks interested in early partnerships should contact institutions@prologuelearn.com. These terms will be updated with full contract language prior to public launch.

These Institutional Terms govern the use of Prologue by educational institutions, school districts, colleges, and any organization ("Institution") that accesses Prologue on behalf of students or faculty.

1. Institutional Access

Institutions granted access to Prologue are authorized to deploy the platform to enrolled students and faculty within their organization. Licenses are non-transferable and may not be resold or sublicensed.

2. Student Data and FERPA

Prologue complies with the Family Educational Rights and Privacy Act (FERPA). Student data collected through institutional deployments:

  • Is used solely to provide and improve the Prologue educational experience
  • Is not shared with third parties for advertising or marketing purposes
  • May be accessed by the Institution's designated administrators through the audit dashboard
  • Is retained only for the duration of the institutional agreement, after which it is deleted upon request

3. Content Moderation and Safety

Prologue routes all student queries through an automated content classification layer. Requests flagged as academic cheat attempts (e.g., requests for direct homework answers) are blocked. Audit trail logs are available to Institution administrators. Institutions may configure additional moderation rules upon request.

4. COPPA Compliance for K-12

For institutions serving students under 13, Prologue operates under the "school official" exception to COPPA. The Institution takes responsibility for obtaining any parental consents required by applicable law before enabling student access.

5. Administrator Responsibilities

The Institution's designated administrator is responsible for:

  • Managing user accounts and access within the Institution's deployment
  • Ensuring students use the platform in accordance with these Terms
  • Reviewing audit trail logs and reporting policy violations to Prologue

6. Uptime and Support

Prologue targets 99.5% monthly uptime for institutional deployments. Dedicated support channels for institution administrators will be provided under signed agreements. Support SLAs will be defined in individual contract schedules.

7. Termination

Either party may terminate an institutional agreement with 30 days written notice. Upon termination, Prologue will provide an export of Institution data within 14 days, after which all data will be permanently deleted.

8. Governing Law

Institutional agreements are governed by the laws of the State of Delaware, United States. Disputes shall be resolved through binding arbitration in Delaware, unless the Institution is a public entity subject to specific state jurisdiction requirements.

9. Contact for Institutional Partnerships

To discuss an institutional partnership, pilot program, or full licensing agreement, contact our education partnerships team at institutions@prologuelearn.com.
